Hong Kong Limited Company Incorporation


Hong Kong is an excellent place to set up a business not only because it is one of the world's major trading and financial centres but also because of its simple taxation system and low tax rate. Income with a source outside Hong Kong is not as a general rule subject to tax and companies pay tax on their local income at the rate of only 16.5%.

Basic Requirement

  • one Shareholder (no restriction on residence, can be individuals or corporates)
  • one Director (no restriction on residence, can be individuals or corporates)
  • one Company Secretary resident in Hong Kong
  • one Auditor who practises in Hong Kong
  • Registered Office in Hong Kong
  • register with the Hong Kong Inland Revenue Department
  • file Profits Tax and Employer's Returns by Company Secretary annually
  • present audited accounts to the shareholders for adoption annually
  • hold a General Meeting of the Shareholders every year
  • file an annual return giving particulars of the Directors, Shareholders and Secretary, together with the Company's capital structure by Company Secretary

Application Procedure

  • conduct intended company name search on Companies Registry
  • consult and assess your company structure and clarify outstanding issues.
  • prepare the company incorporation documents and email to you for your signature (or the documents can be signed at our office if you are in Hong Kong).
  • submit the original signed company incorporation documents to the Companies Registry and pay all government incorporation fees.
  • receive on behalf you Certificate of Incorporation and Business Registration issued by Companies Registry after approximately 7 working days.
  • attend to the production of the company kit including the share certificates, company seal and company chop.
  • issue the share and update the Register of Shareholders and Directors.
  • open bank account in different banks in Hong Kong
